This Agreement governs use of the Exultnet Bookkeeping Integration (the “Application”), a private internal tool developed and operated by Exultnet LLC (“we”, “us”). The Application is used exclusively by Exultnet LLC and its authorized personnel to access Exultnet LLC’s own accounting records. It is not distributed, sold, licensed or made available to the public.
We grant authorized Exultnet LLC personnel a non-exclusive, non-transferable, revocable license to use the Application for internal bookkeeping, financial review and tax preparation. No other party is granted any right to use the Application.
The Application may not be copied, distributed, sublicensed, sold or made available to any third party. It may not be used to access accounting data belonging to anyone other than Exultnet LLC.
The Application accesses QuickBooks Online data through Intuit’s published APIs under authorization granted by the QuickBooks company administrator. Use of QuickBooks Online remains subject to Intuit’s own terms of service. Handling of data obtained through the Application is described in our Privacy Policy.
The Application and all intellectual property in it remain the property of Exultnet LLC. Accounting data accessed through it remains the property of Exultnet LLC.
The Application is operated through an AI assistant. Accounting data is transmitted to the assistant’s provider for analysis when an authorized user requests it, as described in our Privacy Policy. Output is reviewed by an authorized user before any change is made to the accounting records.
The Application is provided “as is”, without warranty of any kind, express or implied. It is an internal tool and carries no service-level commitment. It does not constitute accounting, tax or legal advice, and its output is reviewed by a qualified professional before being relied upon.
To the maximum extent permitted by law, Exultnet LLC shall not be liable for any indirect, incidental, special or consequential damages arising from use of the Application.
This Agreement is effective until terminated. We may terminate it at any time by revoking the Application’s authorization within QuickBooks Online, under Settings → Apps. On termination, all use of the Application ceases.
This Agreement is governed by the laws of the state in which Exultnet LLC is organized, without regard to conflict-of-law principles.
